Tranny Issue!! NEED HELP!!

Ok so i have a 2002 m3 only 38xxx on it. i thought i blew my clutch at first. The car was having an issue going into gear - going into an coming out of 1st and 2nd and coming out of 3rd. I thought my clutch wasnt engauging or sumthing, so my friend sugested i look at the slave cylinder. it wasnt that nor was it the clutch. Me and a friend drained my tranny fluid an it was grayish-black with little shavings in it. Needless to say guys i dont know what to do ....
1. buy brandnew transmission
2. have it rebuilt by near by shop
3. buy aftermarket gears(if u know of a company send me a link)
??????????????????????????????????????

Some one please giv me an opinion i cant decide what to do !!!!
